Terms of Service

1. Acceptance of Terms

By accessing or using the WhichEMR website and EMR consulting services, you ("Client" or "Practice") agree to be bound by these Terms of Service. These terms apply to all healthcare providers, clinics, and organizations engaging WhichEMR for EMR selection, implementation, or optimization consulting. If you do not agree with any part of these terms, you may not use our services.

2. Description of EMR Consulting Services

WhichEMR provides vendor-neutral consulting services to help Canadian healthcare providers select, implement, and optimize Electronic Medical Record (EMR) systems. Our services are system-level focused and include but are not limited to:

  • EMR Needs Assessment: Evaluating practice workflows, specialty requirements, and operational goals to identify suitable EMR solutions
  • Vendor Selection Support: Facilitating RFP processes, vendor demonstrations, and comparative analysis across Canada's certified EMR vendors
  • Implementation Planning: Developing phased implementation roadmaps, data migration strategies, and go-live support plans
  • Workflow Optimization: Analyzing and redesigning clinical workflows to maximize EMR efficiency and regulatory compliance
  • Data Migration Consulting: Planning and overseeing the secure transfer of practice data between EMR systems (excluding patient health information)
  • Compliance Guidance: Advising on EMR-related requirements under Canadian health privacy laws (PIPEDA, PHIPA, and provincial equivalents)

WhichEMR provides consulting and recommendations only. We do not sell, resell, or license EMR software, nor do we directly handle patient health information.

3. Client Responsibilities

As a Client engaging our EMR consulting services, you agree to:

  • Provide accurate and complete information about your practice operations, workflows, and requirements
  • Disclose any existing EMR vendor relationships, contracts, or obligations
  • Make key decisions regarding EMR selection in a timely manner
  • Allocate appropriate internal resources for implementation and training
  • Maintain direct responsibility for patient health information (PHI) security and privacy compliance
  • Comply with all applicable Canadian federal and provincial healthcare regulations
  • Not misrepresent WhichEMR recommendations or represent themselves as affiliated with WhichEMR without written consent
4. Scope & Limitations of Service

By engaging WhichEMR, you acknowledge and agree that:

  • WhichEMR provides guidance and recommendations — final decisions regarding EMR selection and implementation rest solely with the Client
  • WhichEMR is vendor-neutral and does not receive commissions, kickbacks, or incentives from any EMR vendor
  • Service outcomes depend on Client's timely cooperation, data accuracy, and decision-making
  • WhichEMR does not guarantee specific certification, funding approval, or provincial incentive eligibility
  • WhichEMR is not a replacement for legal, compliance, or cybersecurity advice — Clients should seek independent advice for such matters
5. Intellectual Property

All methodologies, frameworks, assessment tools, reports, templates, and materials developed by WhichEMR in the course of providing consulting services are the intellectual property of WhichEMR. Upon full payment, Clients receive a limited, non-transferable license to use deliverables for their internal practice purposes only. Clients may not:

  • Reproduce, distribute, or resell WhichEMR materials without written consent
  • Use WhichEMR frameworks or tools for competitive purposes
  • Share confidential deliverables with third parties (including EMR vendors) without authorization
6. Confidentiality

WhichEMR treats all Client information as confidential. We will not disclose practice-specific information to third parties (including EMR vendors) without explicit Client authorization. This confidentiality does not extend to:

  • Information already in the public domain
  • Information required to be disclosed by law or regulatory authority
  • De-identified, aggregated benchmarking data used for industry analysis
7. Limitation of Liability

WhichEMR provides consulting services on an "as is" and "as available" basis. To the fullest extent permitted by Canadian law:

  • WhichEMR shall not be liable for any decisions made by the Client based on our recommendations
  • WhichEMR shall not be liable for any indirect, incidental, or consequential damages, including but not limited to: loss of practice data, loss of revenue, loss of business opportunities, or costs associated with EMR implementation delays
  • The Client's exclusive remedy and WhichEMR's total liability for any claim arising from these terms shall not exceed the total fees paid by the Client for the specific consulting engagement giving rise to the claim
8. EMR Vendor Interactions

WhichEMR facilitates introductions and provides comparative analysis of EMR vendors. We are not responsible for:

  • Vendor performance, product functionality, or service delivery
  • Vendor data handling, security, or privacy practices
  • Vendor contract terms, pricing, or service level agreements
  • Any disputes arising between the Client and any EMR vendor

Clients are encouraged to conduct independent due diligence on any EMR vendor and enter into direct contractual agreements with their chosen vendor.

9. Termination

Either party may terminate the consulting engagement with 30 days' written notice. Upon termination:

  • The Client shall pay for all services rendered up to the effective date of termination
  • WhichEMR shall deliver any completed work products to the Client
  • Confidentiality obligations shall survive termination
10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through the courts of Toronto, Ontario.

11. Changes to Terms

WhichEMR reserves the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services after changes constitutes acceptance of the new terms. Clients with active engagements will be notified of material changes directly.
